1. Acceptance of Terms
By downloading, installing, or using the txt application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App. You must be at least 18 years of age to create an account or use txt.
2. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information during registration and to keep your profile information current. You may not create accounts for others or transfer your account without our consent.
3. User-Generated Content
You retain ownership of content you post on txt ("User Content"). By posting, you grant TXT LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, distribute, and store your User Content solely for the purpose of operating and improving the App. You represent that you have all rights necessary to grant this license and that your User Content does not infringe the rights of any third party.
4. Prohibited Conduct
You agree not to post or transmit content that: (a) is unlawful, threatening, abusive, harassing, defamatory, or hateful; (b) promotes violence, terrorism, or self-harm; (c) contains explicit sexual or pornographic material; (d) impersonates another person or entity; (e) contains spam, phishing, or malware; (f) promotes illegal drugs, gambling, or intoxicants; (g) infringes copyrights, trademarks, or other intellectual property rights; (h) contains personal or private information of others without consent; or (i) is otherwise objectionable at the sole discretion of TXT LLC.
5. Content Moderation
TXT LLC reserves the right, but has no obligation, to monitor, review, edit, or remove any User Content at its sole discretion, without prior notice and for any reason. We may suspend or permanently terminate any account that violates these Terms or that we determine, in our sole discretion, is harmful to the community or the App.
6. Intellectual Property
The App, including its design, features, code, branding, logos, and all content not submitted by users, is owned by TXT LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the App.
7. Purchase, Verification & Advertising
You get txt from the App Store at the price shown there; purchases and refunds are handled by Apple under App Store policies. There are no in-app purchases, subscriptions, memberships, or payouts in the App. Verification is free: TXT LLC does not charge for personal, business, or celebrity verification, in the App or on txt.today. Verification is an identity badge: you request it from Settings and TXT LLC reviews the request itself, using the details you choose to send and your public activity on txt; no identity-check vendor is used in the App. Personal verification considers an account at least 30 days old, 1,000 followers, no active strikes, and a complete profile. Business verification considers whether a real business with a website or registration stands behind the account; once a business is approved, the business badge is turned on and the business may advertise on txt. Celebrity verification considers whether the account belongs to a widely known public figure, or that person's team, using press coverage and verified profiles elsewhere; it does not allow the account to advertise. TXT LLC may grant, decline, or revoke verification at its sole discretion, and a ban removes it. Advertising on txt is sold directly to businesses by TXT LLC outside the App; no payment is made or collected in the App. TXT LLC may change features and program terms with notice.
8. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TXT LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TXT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. TXT LLC'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO DOWNLOAD THE APP.
10. Indemnification
You agree to indemnify, defend, and hold harmless TXT LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
11. Termination
TXT LLC may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App ceases immediately. Sections 6 through 13 survive termination.
12. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas.
13. Changes to Terms
TXT LLC may update these Terms at any time by posting the revised version in the App. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
